Terms of Service

These Terms govern your use of the TAWAI Creative AI Studio website and any creative production services we deliver. By engaging us or using this site, you agree to these Terms.
1. Acceptance
By requesting a quote, signing a proposal, or paying an invoice, you accept these Terms on behalf of yourself or the entity you represent.
2. Services
TAWAI provides AI-assisted video production including cinematic commercials, product films, avatar content, and creative storytelling. Scope, deliverables, and timelines are defined in each individual quote or statement of work.
3. Quotes & invoices
- Quotes are valid for the period stated on the quote (default: 30 days).
- Unless otherwise agreed, engagements begin after acceptance of the quote and receipt of the initial payment.
- Invoices are payable within the terms stated (default: 14 days). Late payments may incur a fee as specified on the invoice or rate card.
- All prices exclude applicable taxes unless otherwise stated.
4. Deliverables & revisions
The number of revision rounds is defined per engagement. Additional revisions, scope changes, or expedited timelines may be quoted separately.
5. Intellectual property
- Upon full payment, the client owns the final delivered work for its intended commercial use.
- Raw project files, source assets, prompts, and models remain the property of TAWAI unless expressly transferred in writing.
- TAWAI retains the right to display delivered work in its portfolio, case studies, and marketing unless a written NDA states otherwise.
- Client warrants that all materials provided to TAWAI (brand assets, footage, talent releases, music) are properly licensed for the intended use.
6. Confidentiality
Each party will treat non-public information shared during an engagement as confidential and use it only to perform the engagement.
7. AI tools
TAWAI uses third-party AI tools as part of production. Outputs of these tools can contain artifacts or inaccuracies; we review and refine deliverables, but the client is responsible for final approval prior to publication.
8. Warranties & disclaimers
Services are provided "as is" to the extent permitted by law. TAWAI does not guarantee any specific commercial outcome, engagement, or performance metric resulting from the delivered work.
9. Limitation of liability
To the maximum extent permitted by law, TAWAI's total liability for any claim arising out of an engagement is limited to the fees paid by the client for the specific engagement giving rise to the claim.
10. Termination
Either party may terminate an engagement in writing. Fees for work completed up to the termination date remain payable, and any non-refundable deposits are retained.
11. Governing law
These Terms are governed by the laws of the jurisdiction in which TAWAI is established, unless otherwise agreed in writing in the applicable statement of work.
12. Changes
We may update these Terms from time to time. The version in effect at the moment of your engagement governs that engagement.
